By using or visiting the allincorporated.ca website (the “Website”) and submitting this incorporation form you agree to the terms and conditions set out below (the “Terms”) and our Privacy Policy located here (the “Privacy Policy”). If you do not agree to be bound by and comply with the Terms and the Privacy Policy, you are not permitted to use access, or otherwise use the Website and you are not permitted to submit this form.

Limitations on Legal Advice Provided

As lawyers registered to practice law in the Province of Alberta, our legal advice is limited to the laws of the Province of Alberta, and the federal laws of Canada. We cannot and will not provide legal advice with respect to the laws of other provinces or jurisdictions. If you’re seeking information or advice regarding the laws of another jurisdiction, the services offered on this website may not be appropriate for you.

Automatic Renewal

Our goal is to make sure that your services are uninterrupted, not to trick you into an unwanted renewal. You may cancel your subscription for Corporate Legal Support Services at any time through our corporate records portal or by contacting us through e-mail. Directors of the corporation will also be provided with one or more reminders of the upcoming renewal date prior to the renewal taking place. If you do not contact us to confirm that you wish to cancel prior to the end of the one-year subscription included with your incorporation plan, your subscription will automatically renew.

No Solicitor-Client Relationship

Your access to and use of the Website, including but not limited to any forms, contact information, links, or other features of the Website, does not result in the creation of a solicitor-client relationship, fiduciary relationship, or other professional-client relationship between you and AIBL, or any of its lawyers, partners, employees or consultants. No solicitor-client relationship will be created until AIBL, or any of its lawyers have agreed to represent you. If contacting a lawyer with AIBL through https://allinlawfirm.ca, that means entering into a formal retainer agreement. If incorporating through the Website, that means receiving e-mail confirmation from a lawyer that they are willing to take on your file. Mere confirmation that your form has been submitted or received is not sufficient for these purposes, as your form first needs to be reviewed and our system needs to be searched for potential conflicts of interest that may prevent us from representing you. The purchase of a legal consultation through this website does not result in the creation of an ongoing solicitor-client relationship.

Conditions Applicable to Legal Support Services

Where your incorporation package includes a 1-year subscription for Corporate Legal Support Services from AIBL, the following provisions shall apply:

  • Features of the applicable Legal Support Services plan, including but not limited to discounted legal fees, records portal access, managed minute book services, annual return filing, registered office and records address services, annual resolutions, dividend resolutions, Clarity Sessions and Document Reviews shall be available only during the term of your subscription. They are not cumulative and do not carry over to any future period. If you fail to utilize the services during the term, they will expire.
  • Discounted legal fees shall be limited to business law legal services provided by AIBL during the subscription term and do not apply to disbursements paid on your behalf. AIBL reserves the right to request work due to potential conflicts of interest, matters being outside of our scope of practice, or if we are unable to manage the requested work volume.
  • Services included are non-transferrable unless express written consent is received from AIBL.
  • There shall be no refunds, full or partial, in the event that the client does not utilize one or more features of the applicable Legal Services Subscription.

You specifically agree that funds paid to AIBL are paid in advance for services to be rendered and are non-refundable, provided that legal fees (not disbursements) shall be refunded if AIBL does not complete the incorporation process where you are not at fault for the failure to proceed. You may cancel your Corporate Legal Support Service subscription at any time, however, refunds will not be provided for any unused portion of your subscription term.

Registered Office and Records Address Services

Where your incorporation package includes registered office and records address services, AIBL (or its assignee) will act as the registered office and records address for the corporation during the term of the subscription. Registered office and records address services are not intended to be used for the purposes of general business mailing.

Managed Minute Book Services and Corporate Records Portal

Our managed minute book services and corporate records portal are intended to provide you with an easy way to access, share, and manage your corporate records. Access to the portal and managed minute book services will be available during the term of your subscription. If you cancel or fail to renew your Corporate Legal Services subscription you will be given a period of 3 months to access and download your corporate records through the online portal, after which, your access will be terminated. We will continue to retain a copy of your corporate records as required by the Law Society of Alberta, and any other rules that govern our legal practice.

Legal Consultations

All of our incorporation plans include a free 30-minute legal consultation. A legal consultation may also be purchased as a stand-alone service.

If you purchase a legal consultation as a stand-alone service, you’ll receive a coupon following the consultation equal to the price paid for the consultation (exclusive of GST). This coupon may be used towards the purchase of any incorporation package with allincorporated.ca, and will expire 90 days following your purchase of the consultation.

If you do not purchase an incorporation consultation as a stand-alone service, but instead submit an application to incorporate (along with paying the applicable incorporation fee) you’ll receive a coupon for a free 30-minute legal consultation that may be used at any time before incorporating, or within 90 days following the registration of your corporation, after which the coupon will expire.

Coupons are non-transferable and have no cash value.

Legal consultations may be rescheduled at any time, provided that at least 24 hours prior notice is provided to AIBL. Refunds will not be granted for cancellations. 

Right to Cancel Services

Cancellation Due to No Fault of Your Own

AIBL reserves the right to cancel its provision of services at any time prior to their completion for the following reasons:

  1. Identification of a potential conflict of interest;
  2. The determination that the services you require are beyond our expertise;
  3. To comply with our legal, regulatory, or ethical obligations as lawyers;
  4. Any other reason inhibiting our ability to provide efficient and effective services.

In such instances, you will be entitled to a full refund of the amount paid for any cancelled services, unless otherwise stated in the “Cancellation Due to Client Actions or Omissions” section below.

Cancellation Due to Client Actions or Omissions

In rare circumstances, AIBL may determine that it is unable to proceed with your incorporation or provide additional services due to something that you have done or failed to do.

If cancellation is triggered by your actions or omissions, such as but not limited to:

  1. Failure to provide appropriate identification, or other information deemed necessary to provide the services;
  2. Non-responsiveness to our communications or failure to respond in a timely manner;
  3. Excessive questions, requests, or changes;
  4. Any other disruptive actions or omissions within your control;

AIBL reserves the right to cancel your services and charge you for the time spent on your file at its standard rate of $400 per hour, plus the amount of any credit card processing fees incurred as a result of your payment. The total charges will not exceed the amount you initially paid for our services.

In such cases, you will be refunded the initial amount paid, less any applicable charges calculated above.

Refund Method

Any refunds that may be made by AIBL will be applied to the original credit card used to pay for services.

Communications

If you are not a current client of AIBL and you choose to communicate with us through the Website, such communication is not confidential and is not covered by solicitor-client privilege or any other form of privilege. Although we take reasonable precautions to protect information submitted through the Website, communication and contact features of this Website may not be 100% secure, and the confidentiality and security of such communications cannot be guaranteed. As such, we ask that you not communicate any highly confidential information to us unless you have formally retained the services of AIBL, and in any event, that you do not use the forms contained on the Website for the transmission of highly confidential or sensitive information. You should not send confidential or sensitive information by the Internet or e-mail unless you take appropriate precautions, such as the use of encryption. By providing your email address, you consent to receive communication from AIBL from time to time regarding business-related legal issues and services. You can opt out of these emails at any time by clicking on the “unsubscribe” link in the e-mail or by responding with UNSUBSCRIBE as the e-mail subject.

Content does not Constitute Legal Advice

The content, information, and features available through the Website, including but not limited to the content and results of any surveys or questionnaires, blog articles, and knowledge base content (collectively the “Content”) do not constitute legal or other professional advice. If you are seeking legal advice or the creation of a solicitor-client relationship, you should retain the services of a lawyer either through AIBL (by contacting a lawyer through https://allinlawfirm.ca and entering into a written retainer agreement), by incorporating your company with AIBL through the Website, or by retaining the services of a lawyer from another law firm by contacting them directly. You should seek appropriate, qualified professional advice before acting or omitting to act based upon any information provided on or through the Website. This includes but is not limited to obtaining advice from an accountant or financial advisor with respect to any tax, accounting, and financial decisions.

Acceptable use of this website

By accessing the Website, you agree that you will not:

  • use the Website in violation of any law, rule, or regulation;
  • interfere with or disrupt the Website or any of our computer systems, servers, networks, databases, software, hardware, or equipment used by or for the Website;
  • interfere with the use or enjoyment of the Website by others;
  • introduce code that is disruptive or harmful;
  • attempt to gain unauthorized access to our computer systems, servers, networks, databases, software, hardware, or equipment, including to: user-restricted areas of the Website; logins and passwords of others; or personal information and personal accounts of others.

allincorporated and the allincorporated.ca logo displayed within the Website are trademarks owned by AIBL. Other trademarks displayed on the Website are owned and licensed to AIBL by third parties. Nothing contained on the Website gives you the right or license to copy or otherwise use any trademark displayed on the Website without the express permission of the owner(s) thereof.

Nuans is a registered trademark and official mark of the Government of Canada, used under sublicence. All In Business Law is providing Nuans Search Reports generated using the Nuans System and is otherwise not associated with the Government of Canada.

Severability

Governing Law and Jurisdiction

The laws of the Province of Alberta and any applicable federal laws of Canada shall govern your use of the Website and the interpretation of these Terms. The courts of the Province of Alberta, sitting at Edmonton, Alberta, and without regard to their conflict of laws provisions, shall have exclusive jurisdiction over any dispute arising out of your use of the Website. Regardless of your physical location, residence, or domicile, you undertake and agree to commence no action nor make any claim of any kind in any jurisdiction other than the courts of the Province of Alberta. You expressly undertake and agree to not commence or pursue any action by way of trial by jury, class action, or similar proceeding. Notwithstanding the foregoing, nothing in these Terms will prevent AIBL from seeking injunctive or equitable relief or remedies against you from any court of competent jurisdiction.

Amendments

The Website may be updated from time to time by AIBL. AIBL may also terminate or amend these Terms at any time by posting revised Terms on the Website. All users of the Website are bound by these Terms, including any amendments, and should therefore periodically review these Terms and any changes to these requirements. Your continued use of the Website following the posting of any changes constitutes your acceptance of such modifications.
