allincorporated.ca is owned and operated by Twin River Law LLP (“TRL”), a business and litigation law firm with its head office located in Lethbridge, Alberta.

By using or visiting the allincorporated.ca website (the “Website”) and submitting this incorporation form you agree to the terms and conditions set out below (the “Terms”) and our Privacy Policy located here (the “Privacy Policy”). If you do not agree to be bound by and comply with the Terms and the Privacy Policy, you are not permitted to use access or otherwise use the Website and you are not permitted to submit this form.

No Solicitor-Client Relationship

Your access to and use of the Website, including but not limited to any forms, contact information, links, or other features of the Website, does not result in the creation of a solicitor-client relationship, fiduciary relationship, or other professional-client relationship between you and TRL, or any of its lawyers, partners, employees or consultants. No solicitor-client relationship will be created until TRL, or any of its lawyers have agreed to represent you. If contacting a lawyer with TRL through http://twinriver.ca, that means entering into a formal retainer agreement. If incorporating through the Website, that means receiving e-mail confirmation from a lawyer that they are willing to take on your file. Mere confirmation that your form has been submitted or received is not sufficient for these purposes, as your form first needs to be reviewed and our system needs to be searched for potential conflicts of interest that may prevent us from representing you.

Content does not Constitute Legal Advice 

The content, information and features available through the Website, blogs or other material accessible through the Website (the “Content”) does not constitute legal or other professional advice. If you are seeking legal advice or the creation of a solicitor-client relationship, you should retain the services of a lawyer either through TRL (by contacting a lawyer through http://twinriver.ca and entering into a written retainer agreement), by incorporating your company with TRL through the Website, or by retaining the services of a lawyer from another law firm by contacting them directly. You should seek appropriate, qualified professional advice before acting or omitting to act based upon any information provided on or though the Website. This includes but is not limited to obtaining advice from an accountant or financial advisor with respect to any tax, accounting and financial decisions.

Limitations on Legal Advice Provided

Our incorporation packages each include the provision of legal advice. As lawyers registered to practice law in the Province of Alberta, our legal advice is limited to the laws of the Province of Alberta, and the federal laws of Canada. We cannot and will not provide legal advice with respect to the laws of other provinces or jurisdictions.

Funds Held In Trust

Fees for products and services included or available with the incorporation packages on the Website are allocated and will be releasable to TRL in accordance with this section.

Optional add-ons are calculated at the actual price paid.

Prior to incorporation you'll receive an invoice for services included with your incorporation package (the "initial invoice"). Funds paid towards the initial invoice will be held in trust by TRL and shall be fully releasable to TRL in payment for its services immediately following registration and reporting to you, subject to the following amounts being held back and disbursed as follows:

  • Any amount added to the price of your Basic incorporation package for legal advice shall be held back in trust and not disbursed until the add-on legal advice has been provided, at which time you'll receive an additional invoice and confirmation that the amount (or a portion of the amount owing if additional legal advice is required) has been paid from trust.
  • Any amount added to the price of your Basic incorporation package for corporate law services shall be held back in trust and not disbursed until the earlier of the corporate law services being provided, or the agreement to provide corporate law services being terminated (whichever is sooner). In the event that the corporate law services are discontinued prior to the end the the purchased term (1 year), you will receive a refund for any pro rated portion of the remaining year and a full refund of any government filing fees paid to TRL for the corporate annual return.

You specifically agree that funds paid to TRL for incorporation, legal advice and corporate law services (if applicable), may be applied and paid as set out above, and that any transfers to and from our trust account as set out above are hereby specifically authorized, acknowledged and approved.

Communication Through the Website

If you are not a current client of TRL and you choose to communicate with us through the Website, such communication is not confidential and is not covered by solicitor-client privilege or any other form of privilege. Although we take reasonable precautions to protect information submitted through the Website secure, communication and contact features of this Website may not be 100% secure, and the confidentiality and security of such communications cannot be guaranteed. As such, we ask that you not communicate any highly confidential information to us unless you have formally retained the services of TRL, and in any event, that you do not use the forms contained on the Website for the transmission of highly confidential or sensitive information. You should not send confidential or sensitive information by the Internet or e-mail unless you take appropriate precautions, such as the use of encryption.

Acceptable use of this website

By accessing the Website, you agree that you will not:

  • use the Website in violation of any law, rule or regulation;
  • interfere with or disrupt the Website or any of our computer systems, servers, networks, databases, software, hardware or equipment used by or for the Website;
  • interfere with the use or enjoyment of the Website by others;

Nothing contained on the Website gives you the right or license to copy or otherwise use any trademark displayed on the Website without the express permission of the owner(s) thereof.

Copyright

Unless otherwise indicated, copyright ownership in the Content belongs to TRL. You are not permitted to copy, reproduce or distribute any of the Content, other than for the specific purpose of accessing the Website for your own personal viewing purposes. If you would like to link to the Content other than through the social sharing options presented on the Website, you must TRL and receive prior written permission.

Severability

If any provision of this contract is prohibited, invalid or unenforceable in any jurisdiction, that provision will, as to that jurisdiction, be ineffective to the extent of the prohibition, invalidity or unenforceability without invalidating the remaining provisions of these Terms or affecting the validity or enforceability of that provision or part thereof in any other jurisdiction.

Governing Law and Jurisdiction

The laws of the Province of Alberta and any applicable federal laws of Canada shall govern your use of the Website and the interpretation of these Terms. The courts of the Province of Alberta, sitting at Lethbridge, Alberta, and without regard to their conflict of laws provisions, shall have exclusive jurisdiction over any dispute arising out of your use of the Website. Regardless of your physical location, residence or domicile, you undertake and agree to commence no action nor make any claim of any kind in any jurisdiction other than the courts of the Province of Alberta. You expressly undertake and agree to not commence or pursue any action by way of trial by jury, class action or similar proceeding. Notwithstanding the foregoing, nothing in these Terms will prevent TRL from seeking injunctive or equitable relief or remedies against you from any court of competent jurisdiction.

Assignment

TRL may assign this agreement or any part thereof, and TRL may delegate any of its obligations under these Terms. You may not assign the Terms or any part of them, nor transfer or sub-license your rights under the Terms to any third party.

Amendments

The Website may be updated from time to time by TRL. TRL may also terminate or amend these Terms at any time by posting revised Terms on the Website. All users of the Website are bound by these Terms, including any amendments, and should therefore periodically review these Terms and any changes to these requirements. Your continued use of the Website following the posting of any changes constitutes your acceptance of such modifications.
